1. Agreement to Terms

By accessing or using Agent Concierge (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

Agent Concierge is operated by SnagAbiz, LLC, a Florida company (“we,” “us,” or “our”). We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Agent Concierge provides managed hosting, deployment, and maintenance services for AI-powered assistants and automation agents. The Service may include:

• Hosting AI assistants running continuously in cloud infrastructure
• Messaging and platform integrations (e.g., Telegram, Discord, WhatsApp, or similar)
• Access to AI model services through third-party providers
• Configuration, monitoring, and support services
• Credit-based or subscription billing management

We reserve the right to change, suspend, or discontinue any feature at any time.

3. Experimental Nature of AI Services

Important Notice - Experimental Technology

By using the Service, you acknowledge:

• Service availability is not guaranteed; outages and maintenance may occur
• The Service relies on third-party AI and infrastructure providers
• Software bugs or unexpected behavior may occur
• AI-generated outputs may be inaccurate, incomplete, or inappropriate
• Autonomous agent actions must be monitored and validated by you

You are solely responsible for reviewing and approving any AI-generated actions or outputs.

4. User Accounts

To use the Service, you must:

• Be at least 18 years old
• Provide accurate registration information
• Maintain account credential security
• Notify us of unauthorized access

You are responsible for all activity under your account.

5. Payment Terms & Refund Policy

All Sales Final — No Refunds

Unless required by law:

• Payments are non-refundable
• Credits are prepaid and applied to your account balance
• Credits do not expire but are forfeited upon termination
• Subscriptions bill in advance
• Cancellation takes effect at the end of the billing cycle
• Pricing may change with 30 days’ notice

Failure to pay may result in suspension or termination.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate laws or regulations
• Generate illegal, abusive, or harmful content
• Infringe intellectual property rights
• Circumvent billing or security controls
• Interfere with Service operation
• Conduct spam, phishing, or deceptive activity

We may suspend or terminate accounts violating these rules without refund.

7. Intellectual Property

All Service software, systems, and branding belong to SnagAbiz, LLC or its licensors.

You retain ownership of content you submit, but grant us a limited license to process it to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

We make no guarantees regarding:

• Availability or uptime
• Security or reliability
• Accuracy of AI outputs

Use is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law:

SnagAbiz, LLC shall not be liable for indirect, incidental, or consequential damages, including lost profits or data.

Total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SnagAbiz, LLC and its affiliates from claims arising from:

• Your use of the Service
• Violation of these Terms
• Misuse of AI outputs

11. Termination

We may suspend or terminate your access at any time for violation of these Terms.

Upon termination:

• Access ends immediately
• Data may be deleted
• Credits are forfeited

12. Governing Law

These Terms are governed by the laws of the State of Florida, USA.

13. Dispute Resolution

Any disputes will be resolved through binding arbitration under American Arbitration Association rules.

Arbitration shall occur in Florida unless otherwise required by law.
